This Pro & Elite License Agreement ("Agreement") is a binding contract between RepLogix ("RepLogix," "we," "our," or "us") and the coach, school, athletic department, or district ("Customer," "you," or "your") that purchases a Pro or Elite subscription license. By purchasing, subscribing to, accessing, or using RepLogix under a Pro or Elite license, you agree to this Agreement. If you do not agree, do not purchase or use the Service.
This Agreement is between RepLogix and the Customer identified at checkout. If you purchase on behalf of a school, athletic department, district, or organization, you represent and warrant that you have the legal authority to bind that organization to this Agreement.
Pro licenses are designed for individual high schools or athletic programs. Elite licenses are designed for districts managing multiple high schools. The number of teams and high schools permitted depends on the specific license tier purchased, as described in Section 3.
The following Pro and Elite license tiers are available for annual subscription:

Elite district pricing scales based on the number of high schools managed within the district. Additional high schools beyond the first are billed at the published district tier rates available at checkout or through the RepLogix sales team.
For district customers, Elite pricing is determined by the number of high schools in the district. The following annual pricing applies:

Pro licenses (8 Teams and 12 Teams) include the following features and role assignments:
The purchasing Campus Admin does not count against the 8- or 12-Account Admin limit. Additional Account Admin team accounts require upgrading to a higher tier or an Elite license.
Elite district licenses include all Pro features plus the following role assignments and limits:
Elite licenses are limited to the number of high schools specified at purchase and seventeen (17) Account Admin team accounts total. Adding campuses requires upgrading to the next district tier under Section 3.
Pro and Elite licenses are annual subscriptions. The subscription term begins on the date of successful payment ("Effective Date") and continues for twelve (12) months ("Subscription Term").
Unless you cancel before the renewal date, your subscription will automatically renew for successive 12-month terms at the then-current annual price. You acknowledge that the billing agreement consent checkbox must be checked before checkout, authorizing automatic renewal unless canceled.
Payment is processed through Stripe at checkout. You authorize RepLogix and its payment processor to charge the full annual amount to your selected payment method. For Elite district licenses, the price is determined by the number of high schools selected at checkout or through a separate quotation from the RepLogix sales team.
You may cancel your Pro or Elite subscription at any time through the app, website, or by contacting support. Cancellation stops future renewal charges but does not automatically provide a refund for the current subscription term.
Refunds are subject to the RepLogix Refund Policy. Annual subscription payments are generally non-refundable unless required by law or explicitly stated in writing by RepLogix.
If you reduce the number of high schools in an Elite district license mid-term, the price adjustment will apply at the next renewal. Mid-term additions of high schools require payment of the prorated difference for the remaining term.
As a Pro or Elite customer, you agree to:
Elite district administrators are responsible for managing which coaches and staff have access to each high school's data within the district.
RepLogix agrees to:
You retain ownership of all User Data entered into RepLogix, including rosters, attendance records, performance data, reports, and notes. RepLogix is granted a limited license to host, store, process, and display User Data solely as necessary to provide the Service.
Your use of RepLogix with student-athlete data is subject to applicable privacy laws including FERPA, COPPA, and state student privacy regulations. You are responsible for determining which laws apply and for obtaining necessary consents.
RepLogix handles data in accordance with its Privacy Policy. RepLogix will not sell Customer data to third parties.
Each party agrees to keep confidential any non-public information received from the other party, including pricing, account details, platform configurations, and student-athlete data. Confidential information will not be disclosed to third parties without prior written consent, except as required by law.
RepLogix will not disclose Customer User Data to third parties except as necessary to provide the Service, comply with legal obligations, or as authorized by the Customer.
You agree not to:
RepLogix, including its software, interface, branding, reports, templates, and workflows, is owned by RepLogix or its licensors. This Agreement grants you a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription, subject to the terms of this Agreement and the Terms of Service.
You may use reports and exports generated from your account for internal coaching, athletic department, or district purposes.
RepLogix aims to provide reliable access to the platform but does not guarantee uninterrupted, error-free service. The Service may be temporarily unavailable due to maintenance, updates, hosting issues, or events outside our control.
Pro and Elite customers receive access to in-app support messaging and email support. Elite district customers may receive priority support for district-level administrative requests.
You may upgrade your Pro license to a higher team tier or to an Elite district license at any time. Upgrades take effect immediately upon payment, with prorated billing for the remaining subscription term.
Downgrades take effect at the next renewal date. Mid-term downgrades do not result in automatic refunds but may reduce future renewal charges.
Elite district customers may add or remove high schools. Adding high schools mid-term requires prorated payment. Removing high schools reduces the renewal price at the next renewal cycle.
RepLogix may suspend or terminate your Pro or Elite license if you violate this Agreement, fail to pay fees, misuse the Service, exceed your licensed capacity, or create security or privacy risks. Upon termination, your access to the Service and your data may be discontinued.
You may terminate your subscription at any time by canceling through the app or contacting support. Termination stops future billing but does not entitle you to a refund for the current term unless required by law or the Refund Policy.
RepLogix is provided on an "as is" and "as available" basis. To the fullest extent allowed by law, RepLogix disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and error-free operation.
To the fullest extent allowed by law, RepLogix will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or service interruption.
RepLogix's total liability for any claim related to this Agreement or the Service will not exceed the total amount you paid to RepLogix during the six (6) months before the claim arose. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
You agree to defend, indemnify, and hold harmless RepLogix, its owner, operators, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from your use of the Service, your User Data, your violation of this Agreement, or your misuse of athlete or student data.
This Agreement is governed by the laws of the State of Texas, without regard to conflict of law rules, unless another jurisdiction is required by applicable law.
Before filing a claim, you agree to first contact RepLogix and attempt to resolve the dispute informally at replogixapp@gmail.com. If the dispute cannot be resolved informally, disputes may be handled in the appropriate state or federal courts located in Texas, unless otherwise required by law.
This Agreement supplements the RepLogix Terms of Service, which remain in full force and effect. In the event of a conflict between this Agreement and the Terms of Service regarding Pro or Elite licensing, this Agreement controls. All other terms are governed by the Terms of Service.
RepLogix may update this Agreement from time to time. When material changes are made, we will notify Pro and Elite customers through the app, website, email, or account notice at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Agreement.
Price increases for renewal periods will be communicated at least thirty (30) days before the renewal date. You may cancel before the renewal date to avoid the increased price.
